Having drafted standard form documents for various industry leaders in this sector we have an in-depth understanding of how asset based lending facilities (and their providers) operate.

We appreciate the different emphases and demands of ‘banking the collateral’ as compared with term loans or cashflow finance and are able to bring this expertise to bear when negotiating for either an ABL or corporate borrower. We regularly advise on the drafting of and amendments to standard form debt purchase agreements, security documents, book debt waivers and priority deeds.

Our expertise also covers the review of terms and conditions of supply for their discountability, advice on asset based lending in corporate finance and leveraged transactions, and knowledge of the scope of personal warranties and indemnities required by ABL’s from directors. We also advise on group, back to back and other bespoke discounting arrangements.
